1. Acceptance of these terms
Welcome to Pragmatics Money. These Terms of Service ("Terms") are an agreement between you and Office Pragmatics LLC, a Pennsylvania limited liability company ("Pragmatics," "we," "us"). They govern your access to and use of the Pragmatics Money mobile application, website, and related services (together, the "Service").
By creating an account, tapping a button that says you agree, or simply using the Service, you agree to these Terms and to our handling of your data as described in Section 6. If you do not agree, please do not use the Service.
2. What Pragmatics Money is
Pragmatics Money is a personal-finance app that helps you view your accounts, track spending, understand your net worth, and see your investment allocation in one place. We read information from financial institutions you connect; we do not move money, trade securities, open accounts on your behalf, or give advice about what you should do with your money.
3. Eligibility and accounts
You may use the Service if you are at least 18 years old, a legal resident of the United States, and able to enter into a binding contract. By using the Service, you represent that these things are true.
Your account
You are responsible for the information you provide when creating an account, for keeping your login credentials confidential, and for everything that happens under your account. Please tell us promptly at contact@pragmaticsmoney.com if you believe your account has been accessed without your permission.
4. Subscriptions, trials, and billing
The Service is offered on a paid subscription basis. Current plans and prices are listed on our pricing page and may be presented in the app at purchase.
Free trial
If we offer a free trial, you may cancel before the trial ends to avoid being charged. If you do not cancel, your paid subscription begins automatically at the end of the trial at the then-current price.
Billing, renewal, and cancellation
Subscriptions renew automatically each billing period (monthly or yearly) until you cancel. You can cancel at any time through your device's app store (for example, Settings → Apple ID → Subscriptions) or, if you subscribed directly through us, by emailing contact@pragmaticsmoney.com. Cancelling stops future renewals; it does not generate a prorated refund for the current period unless required by law or your app store's rules.
Price changes
We may change subscription prices from time to time. If we do, we will give you reasonable advance notice and the chance to cancel before the new price takes effect.
Taxes
Prices shown may not include taxes. You are responsible for any taxes applicable to your purchase.
5. Linking financial accounts
The Service works best when you connect your financial accounts — banks, credit cards, brokerages, and similar. Connections are made through third-party data aggregators (for example, Plaid). When you link an account, you authorize us and our aggregators to access information about that account (balances, transactions, holdings, and similar data) on your behalf.
You represent that you have the right to link the accounts you connect and that the information you provide is accurate. You can disconnect an account at any time from within the app. Disconnecting stops new data from flowing in; previously synced data may be retained as described in our privacy practices (Section 6).
The accuracy, completeness, and availability of data from your financial institutions is outside our control. Balances, categorizations, and similar information should be treated as a convenience view, not as an official statement of your accounts.
6. Privacy and your data
Your privacy matters, and we've designed Pragmatics Money to respect it. In short:
- We use your financial data to operate the Service — for example, to show your balances, categorize transactions, and compute your net worth.
- We do not sell your personal or financial data.
- We do not show third-party advertisements in the app, and we do not accept referral compensation for recommending particular credit cards, brokerages, or other financial products.
- We use a small number of vendors (such as our data aggregator, cloud host, and analytics provider) to run the Service. These vendors are contractually limited to processing your data on our behalf.
- You can request a copy of your data or deletion of your account at any time by emailing contact@pragmaticsmoney.com.
For a full description of what we collect, how long we keep it, and the rights you have under laws like the California Consumer Privacy Act, please see our privacy notice, which is incorporated into these Terms by reference. [Drafter's note: add and link your full privacy notice; the summary above should match it.]
7. Security
We work hard to protect your data. Connections to financial institutions are made with read-only credentials through our aggregator partners; we never see or store the passwords you use at your bank. Account data at rest and in transit is encrypted using industry-standard methods. Access to production systems is restricted, logged, and reviewed.
No system is perfectly secure. You are responsible for using a strong, unique password for your Pragmatics Money account, keeping your device locked, and letting us know quickly if you suspect unauthorized access.
8. Not financial, tax, or legal advice
Pragmatics Money is an information tool. Nothing in the Service is investment, tax, accounting, or legal advice, and nothing in the Service is a recommendation to buy, sell, or hold any security or to take any other action. Decisions about your money are yours alone, and you should consult a qualified professional for advice specific to your situation.
9. Acceptable use
You agree not to:
- Use the Service to violate any law, regulation, or third-party right;
- Access the Service through an automated system in a way that exceeds what a typical user would do, unless we have given written permission;
- Attempt to reverse-engineer, decompile, or circumvent security controls in the Service, except to the extent the law permits you to do so despite this limitation;
- Link financial accounts you are not authorized to access;
- Upload content that infringes someone's rights or that is unlawful, defamatory, or harmful;
- Interfere with or disrupt the Service.
10. Our intellectual property
The Service and its original content — software, designs, logos, and written materials — are owned by Pragmatics or our licensors and are protected by copyright, trademark, and other laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service for your own non-commercial use, subject to these Terms. All rights not expressly granted are reserved.
You retain ownership of the content you provide (for example, your custom category names and notes). By using the Service, you grant us a worldwide, royalty-free license to host, copy, transmit, and display that content solely to operate and improve the Service.
11. Suspension and termination
You may stop using the Service at any time and close your account by emailing contact@pragmaticsmoney.com. We may suspend or terminate your access to the Service if you materially breach these Terms, if we are required to do so by law, or if we decide to discontinue the Service. When we can, we will give you reasonable notice. Sections intended to survive (including intellectual property, disclaimers, limitations of liability, and governing law) will remain in effect after termination.
12. Disclaimers of warranty
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components, or that any data shown through the Service is accurate or complete. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
13. Limitation of liability
To the maximum extent permitted by law, Pragmatics and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, lost goodwill, or loss of use, arising out of or related to the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or related to the Service will not exceed the greater of (a) the amount you paid Pragmatics in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.
14. Indemnity
You agree to indemnify and hold Pragmatics harmless from any claim, liability, loss, or expense (including reasonable attorneys' fees) arising out of your misuse of the Service, your violation of these Terms, or your violation of any law or third-party right.
15. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. The exclusive venue for any dispute not subject to arbitration is the state and federal courts located in Philadelphia County, Pennsylvania, and you consent to personal jurisdiction there.
Informal resolution first
Before filing any formal claim, you agree to try to resolve the dispute informally by emailing us at contact@pragmaticsmoney.com with a description of the issue and what you're looking for. We'll do the same if we have a claim against you. If we cannot resolve the dispute within sixty (60) days of that notice, either party may proceed as described below.
Binding individual arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.
Except for the matters carved out below, you and Pragmatics agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and whether arising before, during, or after the termination of these Terms — will be resolved exclusively by final and binding individual arbitration, and not in a court of law. This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1–16 (the "FAA"), and evidences a transaction involving interstate commerce.
The arbitration will be administered by JAMS under its Streamlined Arbitration Rules and Procedures (or, for claims over US$250,000, its Comprehensive Arbitration Rules and Procedures), as modified by these Terms. The rules are available at jamsadr.com. A single neutral arbitrator will decide the dispute. The arbitrator — not any court — has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court has authority to decide whether the Class Action Waiver below is enforceable. Judgment on the award may be entered in any court of competent jurisdiction.
Unless you and Pragmatics agree otherwise, the arbitration will take place in Philadelphia County, Pennsylvania, or, at your election, by telephone, video, or written submission if the amount in controversy is US$25,000 or less. The arbitrator may award any relief a court could award under applicable law, but only in favor of the individual party seeking relief and only to the extent necessary to provide relief for that party's individual claim.
Class action and jury-trial waiver
You and Pragmatics agree that each party may bring claims against the other only on an individual basis, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action or proceeding (the "Class Action Waiver"). The arbitrator may not consolidate more than one person's claims, may not preside over any form of class or representative proceeding, and may award relief only to the individual party seeking relief. If a court decides that applicable law precludes enforcement of any portion of this paragraph with respect to a particular claim, that claim (and only that claim) must be severed from the arbitration and brought in the courts identified in Section 15 above, and the remaining claims will proceed in arbitration. To the fullest extent permitted by law, you and Pragmatics each waive any right to a jury trial in any proceeding arising out of or relating to these Terms or the Service.
Small-claims and injunctive-relief carve-outs
Nothing in this Section 15 prevents either party from (a) bringing an individual action in small-claims court for any claim that qualifies, so long as the action remains in that court and on an individual (non-class, non-representative) basis, or (b) seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual-property rights.
30-day right to opt out of arbitration
You have the right to opt out of the arbitration and class-action waiver provisions in this Section 15. To opt out, you must send written notice of your decision to contact@pragmaticsmoney.com with the subject line "Arbitration Opt-Out," and include your full name, the email address associated with your account, and a clear statement that you wish to opt out. The notice must be received within thirty (30) days of the date you first accepted these Terms (or first accepted a version of these Terms containing this arbitration agreement). If you opt out, neither you nor Pragmatics can require the other to participate in arbitration. Opting out of this arbitration agreement has no effect on any other arbitration agreement you may have with Pragmatics.
Arbitration fees
Payment of all filing, administration, and arbitrator fees will be governed by the applicable JAMS rules, except that for claims of US$10,000 or less, Pragmatics will pay all such fees unless the arbitrator determines that your claim was frivolous or brought for an improper purpose (as measured by the standards of Federal Rule of Civil Procedure 11(b)). Each party will bear its own attorneys' fees and costs, except to the extent that a statute applicable to the dispute provides otherwise.
Severability and survival
If any portion of this Section 15 (other than the Class Action Waiver, which is governed as described above) is held to be invalid or unenforceable, the remaining portions will remain in full force and effect. This Section 15 will survive termination of these Terms and your use of the Service.
16. Changes to these terms
We may update these Terms from time to time. If we make a material change, we will give you reasonable notice — for example, by posting the updated Terms in the app, updating the "Last updated" date at the top, or sending you an email. Your continued use of the Service after the effective date of the updated Terms means you accept them. If you don't accept them, please stop using the Service.
